1. Definitions

Throughout these Terms, the following words have the meanings given below:

• "Ravi Labs", "we", "us", "our" — the business trading as Ravi Labs, registered in Phuket, Thailand.
• "Client", "you", "your" — any individual or legal entity that engages Ravi Labs for services.
• "Services" — the Inventory Review, Recorded Build, or Accounting Service, as described on our website and in any written engagement agreement.
• "Deliverables" — written reports, integration code, documentation, and other outputs produced by Ravi Labs for a specific engagement.
• "Agreement" — these Terms together with any written engagement agreement or statement of work.
• "Third-Party Tools" — AI services, APIs, or platforms operated by parties other than Ravi Labs that are used or connected during an engagement.

2. Acceptance of Terms

By submitting an enquiry through our website, commissioning a service by email or phone, or entering into a written engagement agreement with Ravi Labs, you confirm that you have read and accepted these Terms.

Our services are intended for business clients. By accepting these Terms, you confirm that you are acting on behalf of a business entity or as a sole trader, that you are at least 18 years of age, and that you have the authority to enter into an agreement on behalf of that entity.

These Terms apply to all services unless a separate written agreement expressly states otherwise, in which case the written agreement takes precedence.

3. Service Description

Ravi Labs provides the following services, each of which is defined by a written scope at the start of an engagement:

• Inventory Review (฿4,500) — a written technical assessment of one to two of your systems, identifying where AI integrations may reasonably fit and where they may not, with options presented for your consideration. No build work is included.
• Recorded Build (฿9,900) — design, construction, testing, and documented handover of one AI integration connecting a chosen third-party service to your tools. The expected duration is approximately five weeks from a confirmed start date.
• Accounting Service (฿16,600 per month) — ongoing maintenance, monitoring, and measured extension of a live integration, with a named engineer and a monthly written report. This service is provided on a rolling monthly basis.

Services are available to clients in Thailand and may be provided remotely or, where agreed, on-site in Phuket. Availability is subject to capacity; we will confirm availability before accepting an engagement.

4. Client Obligations

To allow Ravi Labs to carry out an engagement effectively, you agree to:

• Provide accurate and complete information about your systems, tools, and requirements at the start of an engagement.
• Grant timely access to the systems, API credentials, and documentation required for the agreed scope of work.
• Review and respond to questions or requests from Ravi Labs within a reasonable time, typically within three business days.
• Notify us promptly of any changes to your systems or requirements that may affect the engagement.
• Ensure that your use of any third-party tools or APIs connected during an engagement complies with those providers' terms of service.

Delays caused by late or incomplete information from the client may extend engagement timelines. Ravi Labs is not liable for timeline overruns attributable to client delays.

5. Intellectual Property

Deliverables: Upon receipt of full payment for an engagement, Ravi Labs assigns to you all rights in the Deliverables produced specifically for that engagement (reports, custom integration code, handover documentation). You may use, modify, and maintain those Deliverables without restriction.

Background IP: Ravi Labs retains ownership of all tools, frameworks, processes, methodologies, and know-how developed independently of any specific engagement. Where background IP is incorporated into Deliverables, Ravi Labs grants you a perpetual, non-exclusive licence to use that background IP as part of the Deliverables.

Third-Party Tools: Integrations may connect to third-party AI services, APIs, or platforms. Your rights with respect to those tools are governed by those providers' terms. Ravi Labs makes no representations about the continued availability or pricing of third-party services.

You may not represent Deliverables as your own original work for the purpose of resale or sublicensing without prior written agreement from Ravi Labs.

6. Payment Terms

All prices are in Thai Baht (฿) and are inclusive of any applicable taxes unless stated otherwise.

• Inventory Review: Payment in full (฿4,500) is due before work commences.
• Recorded Build: A 50% deposit (฿4,950) is due before work commences. The remaining 50% is due upon delivery of the Deliverables and handover documentation.
• Accounting Service: The monthly fee (฿16,600) is due at the start of each calendar month. The first month is payable before service commencement.

Invoices are payable within 7 days. If a payment is not received within 14 days of the due date, Ravi Labs reserves the right to pause work until payment is made.

Refunds: Inventory Review fees are non-refundable once the assessment has commenced. Recorded Build deposits are non-refundable after work has commenced. If Ravi Labs is unable to commence an agreed engagement, a full refund will be issued. Accounting Service fees are non-refundable for the current month; the service may be cancelled with 30 days' written notice.

7. Confidentiality

Both parties agree to treat as confidential any technical, commercial, or business information shared during an engagement that is identified as confidential or that a reasonable person would understand to be confidential.

Ravi Labs will not disclose your system architecture, API credentials, or business processes to third parties without your written consent, except as required by law or to subcontractors working under equivalent confidentiality obligations.

This obligation survives termination of an engagement for a period of three years.

8. Disclaimers

Services are provided with reasonable skill and care. Ravi Labs does not warrant that any integration will produce specific business outcomes, that third-party AI services will perform as expected, or that an integration will operate without interruption.

An Inventory Review presents options based on the information available at the time. It is advisory in nature. Ravi Labs makes no representation that a connection described in a review will remain feasible if the relevant systems or APIs change after the review is delivered.

Ravi Labs is not a legal, financial, or regulatory adviser. Nothing in any Deliverable constitutes legal or financial advice.

9. Limitation of Liability

To the extent permitted by Thai law, Ravi Labs' total liability to you in connection with any engagement is limited to the fees paid by you for that engagement in the preceding three months.

Ravi Labs is not liable for any indirect, consequential, or special losses, including loss of revenue, loss of data, or loss of business opportunity, even if we have been advised of the possibility of such losses.

This limitation does not apply to liability arising from fraud, wilful misconduct, or personal injury caused by our negligence.

10. Indemnification

You agree to indemnify and hold harmless Ravi Labs, its employees, and contractors from and against any claims, costs, damages, or liabilities arising from: your breach of these Terms; your use of Deliverables in a manner not contemplated by the engagement; or your infringement of third-party rights in connection with systems or data you provide to us.

11. Termination

By you: You may terminate an Accounting Service engagement with 30 days' written notice. For a Recorded Build, termination after work has commenced does not entitle you to a refund of the deposit, and any work product completed to that point may be invoiced on a pro-rata basis.

By Ravi Labs: We may terminate or suspend an engagement with written notice if: you are in material breach of these Terms and have not remedied that breach within 14 days of notification; payment remains outstanding beyond 30 days; or circumstances arise that make continuation of the engagement impractical or unsafe.

Effect of termination: Confidentiality obligations, intellectual property provisions, and the limitation of liability survive termination.

12. Dispute Resolution

These Terms are governed by the laws of the Kingdom of Thailand. The courts of Thailand have jurisdiction over any dispute arising from these Terms or an engagement.

Before commencing legal proceedings, both parties agree to attempt to resolve any dispute through direct, good-faith discussion. If direct discussion does not resolve the matter within 30 days, either party may refer the dispute to mediation through a mutually agreed mediator before commencing litigation.

13. General Provisions

• Entire agreement: These Terms, together with any written engagement agreement, constitute the entire agreement between the parties and supersede all prior discussions.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full effect.
• Waiver: Failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. Ravi Labs may assign its obligations to a successor entity without your consent, provided the quality of service is maintained.
• Notices: Formal notices under these Terms should be sent by email to legal@{{DOMAIN}} or by post to the address below.
• Force majeure: Neither party is liable for delays or failures caused by circumstances beyond their reasonable control, including infrastructure outages, natural events, or changes to third-party service terms.

14. Changes to These Terms

Ravi Labs may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. For active Accounting Service clients, material changes will be communicated with 30 days' notice by email. Continued use of our services after the notice period constitutes acceptance of the revised Terms.
